Any updates or upgrades provided to you will be considered part of the Software and subject to the terms of this Agreement. 5. Disclaimer of Warranties The Software is provided "AS IS" without warranty of any kind. To the maximum extent permitted by applicable law, the Company disclaims all warranties, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 6. Limitation of Liability To the maximum extent permitted by applicable law, in no event shall the Company be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, business interruption, loss of information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if the Company has been advised of the possibility of such damages. 7. Indemnification You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or in any way connected with your use of the Software. 8. Termination This Agreement is effective until terminated. The Company may terminate this Agreement at any time without notice if you breach any terms of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession or control. 9. Governing Law This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales. 10. Entire Agreement This Agreement constitutes the entire agreement between you and the Company concerning the Software and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this Agreement will be binding unless in writing and signed by the Company. 11.
